These Terms of Service (the “Terms”) form a legal agreement between you and CEF and govern your access to and use of the Site (as defined below).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITE OR BY SUBMITTING YOUR EMAIL ADDRESS OR MOBILE PHONE NUMBER THROUGH THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.

1. The Site

CEF operates an informational website located at https://www.cooperativeenergyfutures.com/ and a CEF company page on the Solar Amps portal located at https://www.solaramps.com/company/CEF (together, the “Site”). The Site allows visitors to voluntarily submit an email address, and optionally a mobile phone number, through a contact form so that CEF may contact them. No products or services are sold through the Site, no accounts are created on the Site, and no financial transactions occur through the Site.

2. Geographic Scope

The Site is intended for use by visitors located in the United States. CEF does not direct the Site to, and does not knowingly accept email addresses or phone numbers from, individuals located outside of the United States. If you are not located in the United States, please do not use the Site.

3. Eligibility

You may visit the Site and optionally submit your email address and/or mobile phone number through the contact form. You must be at least eighteen (18) years of age, or the age of majority in your state of residence, and legally permitted to enter into a binding contract under applicable law to submit your email address or mobile phone number through the Site. The Site is not directed to children under the age of 13, and CEF does not knowingly collect personal information from children under 13.

4. Email Submission

If you submit your email address through the Site, you consent to CEF contacting you at that email address consistent with our Privacy Policy. You may opt out of further communications at any time by following the unsubscribe instructions in any email or by contacting us at info@cooperativeenergyfutures.com.

5. Text Message Communications

CEF offers a text message program through which CEF may send informational and marketing text (SMS/MMS) messages to members and customers who opt in (the “Text Program”). By providing your mobile phone number and opting in to the Text Program, you expressly consent to receive recurring automated and non-automated text messages from CEF and its service providers at the mobile phone number you provided, including messages regarding your CEF membership or subscription, account and service updates, and, where you have provided the required consent, marketing messages. Your consent to receive marketing text messages is not a condition of purchasing any goods or services from CEF.

Message frequency varies. Message and data rates may apply, and you are responsible for any fees or charges imposed by your mobile carrier in connection with the Text Program. Mobile carriers are not liable for delayed or undelivered messages.

You may opt out of the Text Program at any time by replying STOP (or another recognized opt-out keyword) to any text message you receive from CEF, or by contacting us at info@cooperativeenergyfutures.com. After you opt out, you may receive a single message confirming your opt-out. For help, reply HELP to any text message or contact us at info@cooperativeenergyfutures.com.

You represent that the mobile phone number you provide to CEF is your own. You agree to notify CEF promptly if you change, deactivate, or transfer the mobile phone number you provided, and you agree that CEF will not be responsible for messages sent to a number that no longer belongs to you. Information collected through the Text Program is handled as described in our Privacy Policy.

6. Acceptable Use

You agree not to, and not to assist, encourage, or permit any third party to:

  • Use the Site in violation of any applicable law or regulation;

  • Access the Site by any means other than the interfaces we provide;

  • Reverse engineer, decompile, or attempt to extract the source code of the Site, except to the extent such restriction is prohibited by law;

  • Interfere with or disrupt the integrity, security, or performance of the Site;

  • Upload or transmit any malicious code, virus, worm, or other harmful material;

  • Harvest, scrape, or collect information about other visitors;

  • Submit an email address or phone number that is not your own or that you are not authorized to provide;

  • Infringe the intellectual property, privacy, or other rights of any third party; or

  • Use the Site to harass, threaten, defame, or otherwise harm any person.

7. Intellectual Property

The Site, including its design, text, graphics, logos, and trademarks, is owned by CEF or its licensors and is protected by United States and other intellectual property laws. CEF grants you a limited, non-exclusive, non-transferable, revocable license to access the Site for your personal, non-commercial, informational use. Except for that limited license, CEF does not grant you any other rights in the Site.

8. Termination and Suspension

CEF may suspend or terminate your access to the Site, with or without notice, if CEF reasonably believes you have violated these Terms or where required by law. CEF may also discontinue the Site, in whole or in part, at any time without notice.

9. Disclaimers

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEF DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. CEF DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CEF NOR ITS OFFICERS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF CEF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL CEF’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IF ANY PORTION OF THIS SECTION IS HELD UNENFORCEABLE, THE LIMITATIONS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless CEF and its officers, managers, members, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms or any applicable law; (c) any email address, phone number, or other information you submit through the Site; and (d) your infringement of any third-party right, including any intellectual property or privacy right.

12. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Site are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. Subject to Section 13 below, any action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the State or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Before initiating any formal proceeding, the parties shall attempt in good faith to resolve any dispute through informal negotiation for a period of at least thirty (30) days following written notice of the dispute sent to info@cooperativeenergyfutures.com. If the dispute is not resolved during that thirty (30) day period, either party may pursue its rights and remedies in the courts identified in Section 12.

14. Changes to These Terms

CEF may modify these Terms from time to time. The most current version will always be posted on the Site with an updated “Effective Date.” If a modification is material, CEF will use reasonable efforts to notify visitors who have submitted an email address (for example, by email or through the Site). Your continued use of the Site after the effective date of modified Terms constitutes your acceptance of those modifications.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with an enforceable provision that most closely reflects the intent of the original.

16. Waiver

The failure of CEF to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of CEF.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements we reference, constitute the entire agreement between you and CEF with respect to the Site and supersede all prior or contemporaneous communications and proposals. By accessing or using the Site or by submitting your email address or mobile phone number through the Site, you agree to be bound by these Terms to the same extent as if you had signed a written agreement.
